M&A
John Magliana has substantial experience in planning, negotiating, structuring, conducting due diligence examinations and implementing business transactions to his clients' optimum tax and business advantage. He has been involved in literally hundreds of transactions worth billions of dollars, including both equity and asset sales and purchases, as well as all forms of reorganizations, involving both public and private companies.

Tax
John provides a full range of tax advice to his business and individual clients. In addition to his mergers and acquisitions practice, John has substantial experience representing clients before the Internal Revenue Service and state revenue agencies, in matters relating to audits, collections, appeals, offers in compromise, and other procedures. John is admitted to and has practiced before the U.S. Tax Court. John also has significant experience in drafting private letter rulings, determination letter applications, and issuing formal tax opinions.

ERISA/Employee Benefits
John has extensive experience with qualified and non-qualified employee benefit plans, including profit sharing plans, 401(k) plans, employee stock ownership plans (ESOPs), individual retirement accounts (IRAs), equity-based incentive plans, phantom stock plans, rabbi trusts, and other executive compensation plans. John is widely recognized for his experience with ESOPs, having counseled literally hundreds of public and private companies with respect to ESOP feasibility, plan design, financing, fiduciary duties, transaction structure, and implementation.

Corporate/Business
John has significant experience with all forms of business entities, including corporations, limited liability companies and partnerships. John serves as corporate general counsel for a number of companies in diverse businesses, ranging from professional service providers and professional poker players, to manufacturers and high-tech companies. He also has substantial experience in bringing concepts to the marketplace. He has helped many entrepreneurs form companies, design the company's capital structure, recruited individuals to serve as executive officers and directors, formulated strategic planning, and raised investment capital from "angel" and venture capital sources. John has also served in various capacities for emerging companies including V.P. of Business Development, V.P. of Corporate Development, Secretary, and Director, giving him the experience and practical insight to provide the best possible advice to his clients.
